What Oregon Amended Articles Actually Do

Oregon calls the document Amended Articles rather than Articles of Amendment. The distinction is worth noticing. The state also calls a certificate of good standing a Certificate of Existence, and calls a DBA an assumed business name. The instrument replaces a stated provision of the Articles of Organization for an LLC. For a corporation it replaces a provision of the Articles of Incorporation.

Use it for a change of legal name. A rewritten purpose clause. A shift between member and manager management. A change of duration. A corporation's authorized shares. And any optional provision the founders put on the public file. The fee is $100, double what most western registers charge. Standard processing runs 5 to 10 business days.

The expedite is $40 and returns the document in 1 to 3 business days, rather than the same-day service some states sell. That is a middle option: fast enough for a closing planned a week out, not fast enough to rescue a date that is already tomorrow.

The annual report does carry some changes

Oregon is the exception among its neighbors. The $100 annual report is due on the entity's anniversary date, and it does accept some informational updates. So a portion of what would need a $100 amendment elsewhere can travel on a filing the company owes anyway. What it cannot do is rewrite an article. A legal name change, a change of management structure, a new purpose clause or a change to authorized shares all need Amended Articles. That holds however convenient the report looks.

Getting this boundary wrong costs money in either direction. File an amendment for something the report would have carried and you waste $100. Five dollars against one hundred

Changing the registered agent is a Statement of Change of Registered Agent or Office at $5 under ORS § 60.111. So is moving the registered office to a new Oregon street address. Against a $100 amendment that is a twenty to one ratio. It is the widest gap between the right form and the wrong one anywhere in the region.

An entity that files the amendment by mistake has spent $95 more than it needed to. It still has to make the agent filing. An outgoing agent gives 30 days notice. That is regularly the moment a company finds out the agent named at formation stopped acting long ago. Five steps. The first decides whether this costs $5, $100, or nothing beyond a report the company already owes.

Step 1: Sort the change onto the right form

Before drafting, place the change in one of three boxes. An agent or registered office move is the $5 statement. An informational update that the annual report accepts can wait for the report, or be filed with it. Anything that alters a stated article needs $100 Amended Articles. That means the name, the purpose, the management structure, the duration or the shares. Sorting correctly at this stage is worth more than every other efficiency in the process combined.

Step 2: Take the vote the agreement requires

An LLC follows its operating agreement. Where the agreement is silent, the Oregon Limited Liability Company Act supplies defaults. Few multi-owner businesses would have chosen those deliberately. Corporations follow their bylaws, and share changes go to a shareholder vote. Sign and date the consent before filing. The Business Registry accepts the document at face value and never asks who approved it. So the company's own file is the only evidence of authority. Step 3: Clear the name, and the assumed business name

Search the Business Registry for anything not distinguishable from the proposed name. Then check for an assumed business name. Oregon registers them at the state for $50 on a two-year renewal cycle. That is the shortest in the region and the easiest to let lapse. A company changing its legal name frequently holds an assumed name that points at the old one. That filing needs its own attention. Step 4: Write the amended articles

Recite the entity name exactly as the Business Registry holds it. Give the registry number. Identify the article being replaced. Set out the new text in full. State the effective date. Then sign as an authorized member, manager or officer. Filings are returned most often for a recited name that differs from the record by a designator or a punctuation mark.

Step 5: File through the Business Registry

Submit at sos.oregon.gov with the $100 fee. The $40 expedite compresses the queue to 1 to 3 business days. That is enough for a closing planned a week ahead, and not enough for one planned tomorrow. Five errors account for most of the wasted money in Oregon amendment work. The first two are both about form selection.

Mistake 01: A $100 fix for a $5 job

Why it happens: Oregon is genuinely more permissive here than its neighbors, which makes the boundary easy to overshoot.

What it costs: The register keeps the old article while the business operates on the new one. The mismatch surfaces at a closing, a license renewal or a bank review.

Why it happens: The Business Registry accepts the filing on its face and never asks for evidence of approval.

Prevention: Sign a dated written consent naming the threshold relied on, and keep it with the filed articles.

Mistake 05: Forgetting the registers outside Oregon

The mistake: Treating the Oregon filing as the end of a rename for an entity registered in other states.

Why it happens: Foreign registrations are quiet between annual filings and nothing prompts a review.

What Happens When an Oregon Record Falls Behind

Oregon charges nothing for a formation document that has gone stale. It charges heavily for the annual report beside it. The two problems usually appear together, because both come from nobody reading the register. Oregon costs $100 a year with a $100 penalty for lateness. Two things work in the filer's favor. The reinstatement window is a generous five years. And Oregon does not require tax clearance before it will reinstate. So recovery stays in the company's own hands, and typically completes in 5 to 10 business days.
