Why it exists

The deal is done. The signing is what drags.

A signature is supposed to be the easy last step, and instead it's where agreements stall. Someone has to print the contract, sign it, scan it back, and email it on, then wait for the other side to do the same. Days pass on a document everyone already agreed to, and the "final" version ends up as a blurry scan in someone's inbox.

It also leaves you thin on proof. A scanned signature says little about who actually signed, when, or whether they meant to, which is exactly what matters if the agreement is ever questioned. The convenient version and the defensible version usually aren't the same file.

E-Signature makes signing the fast part again. Documents are signed electronically under the same laws that make ink binding, routed to each party in order, and backed by an audit trail that records identity, time, and intent. The executed copy files itself into your Document Vault, so the final version is the one on record.

How it works

FAQ

E-signature, answered.

What is an e-signature, and is it legally valid?
An electronic signature is a legally recognized way to sign documents online. Under federal law (the ESIGN Act) and state law (UETA), e-signatures are generally as valid and enforceable as ink signatures for most business documents. We keep your business documents organized so signing is smooth and the record is complete.
What laws make e-signatures binding?
The federal ESIGN Act and the state-level UETA together give electronic signatures the same legal effect as handwritten ones for most transactions, provided the parties intend to sign and consent to electronic signing. Both of those conditions are built into the signing flow, so a document you send meets the requirements without you having to manage them.
What documents can I sign electronically?
Most business documents, including contracts, agreements, consents, and internal records, can be signed electronically. A narrow set, like certain wills, some notarized instruments, and specific filings, may still need traditional handling. We flag which of your documents are fine to e-sign and which need another route, so you never use the wrong method on something that matters.
Are e-signed documents enforceable in court?
Generally yes. An e-signature with a proper audit trail showing who signed, when, and with what intent is enforceable like an ink signature, and the audit trail often provides stronger evidence than a paper original. That trail is captured automatically on every document, which is exactly what makes an e-signed agreement easy to defend.
What is an audit trail?
It's the record the platform captures around a signature: signer identity, timestamps, IP address, and the document version, which together prove the signature's validity and intent. You saw it building in the demo above. Retaining that record is what makes an executed document well-supported if it's ever questioned, so it's stored with the signed copy.
Can I use e-signatures for formation documents?
Often yes. Many states accept electronically signed and filed formation documents, and internal documents like your operating agreement are routinely e-signed. We flag which of your filings and records can be handled electronically, so setting up a company doesn't have to involve paper and mail.
Can File.Business help me handle documents electronically?
Yes. We keep your entity and business documents organized and help you execute and store the routine agreements and records that can be signed electronically, flagging the narrow exceptions that need special handling. The result is a document workflow that's smooth end to end and a set of records that stays complete.
