What it is

State annual reports, all 50 states, tracked and filed.

An annual report (also called a Statement of Information, Annual List, Periodic Report, or Annual Registration depending on the state) is a short filing most states require every year or every two years. It typically reports your current officers, directors, members, principal office address, and Registered Agent. Some states bundle it with a franchise tax payment.

The cost of missing it varies by state but is universally bad. Florida charges a $400 late fee on top of the regular $138.75. California's Statement of Information is $20 with a $250 penalty if late. Delaware's franchise tax starts at $300 with $200 late penalty plus 1.5% monthly interest, and entities that fail to file face suspension. After repeated non-filing, states administratively dissolve your entity, you lose the right to sue in their courts, and reinstatement requires back-fees plus reinstatement filings.

Every state has its own deadline pattern. Delaware Corporations: March 1 every year. Delaware LLCs: June 1 every year (just a flat $300). California: every two years on the anniversary month. New York biennial. Texas: May 15 annually with a franchise tax. Florida: by May 1. Each state's online portal has its own quirks, login requirements, and confirmation paths.

Frequently asked questions.

What is the difference between an annual report and a franchise tax?
An annual report is an information filing (who runs the company, where is it, who is the agent). A franchise tax is a payment to the state for the privilege of being incorporated there, often computed as a flat fee, a per-share amount, or a percentage of capital. Some states bundle them (Texas, California). Some keep them separate (Delaware Corporations). We handle both.
What happens if I miss the deadline?
First, a late fee, typically $25–400 depending on state. Continued non-filing leads to your entity going into 'not in good standing,' which means you cannot bring lawsuits in state courts, cannot easily open bank accounts, and cannot get a Certificate of Good Standing (needed for many business transactions). After about 1–3 years of continued non-filing, states administratively dissolve the entity, at which point reinstatement is a separate filing with cumulative back-fees.
How often is an annual report actually annual?
Most states require annual filings, but several use biennial (every two years): New York, Pennsylvania (every 10 years for LLCs), California (for LLCs; annual for Corps), Iowa. A handful of states do not require annual reports at all: Ohio, South Carolina (LLCs only), Missouri (LLCs only), Mississippi (LLCs only), New Mexico (LLCs only), Arizona (LLCs only).
How much do annual reports cost in different states?
Range: $0 (Idaho, Mississippi for LLCs, Minnesota for LLCs that filed a Renewal recently) to $500 (Massachusetts annually). Most fall between $25 and $200. Delaware Corporations are different: minimum $300 franchise tax (the report itself is included) for low-capital companies, much higher for high-share-count corporations. My state does not require an annual report. Do I owe anything?
Possibly. States without annual reports may still require: (a) a franchise tax filing (Texas, Tennessee, others), (b) a biennial statement that comes around less often (Pennsylvania for LLCs, every 10 years), or (c) a sales-tax registration filing. What if my officers or address changed since last filing?
Most state annual reports include a section to update officer and address information. If the change is material (entity name, conversion, registered agent change), it may require a separate amendment filing first. We detect changes in your File.Business records and prompt the right filing automatically.
Can I file a past-due annual report?
Yes. Most states allow you to file past-due reports with cumulative back-fees and a reinstatement filing if the entity has been dissolved. We handle reinstatements: file the missed reports, pay the back-fees, file the Certificate of Reinstatement, and verify the state has restored good standing. Cost depends on how many years are missed; we quote it upfront.
Does my Registered Agent file the annual report for me?
Usually not. Most Registered Agent services just forward state notices (the reminder that the report is due), they do not file the report unless you have a paid annual-report service. File.Business is the exception: our Registered Agent customers on Growth and Enterprise have annual reports filed automatically as part of the Compliance Suite.
Do nonprofits file annual reports?
Yes. Most states require nonprofit corporations to file an annual or biennial report similar to for-profit entities, plus a separate charitable-solicitation registration renewal in states where the nonprofit fundraises. Federal Form 990 is a separate annual IRS filing, we track that deadline too.
Can foreign-qualified entities file annual reports differently from domestic?
No, the filing is the same form most states use for domestic entities, but you must file in every state where you have qualified, your formation state plus each foreign-qualified state. Multi-state operators have a separate annual report in every state.
