Step 1: Go to LARA, not to a Secretary of State branch

Start in the Corporations Online Filing System. Everything about the entity record, the resident agent, the registered office and the Annual Statement lives there. If you have been directed to a Secretary of State office, you have been directed to the agency that issues driver licences, which shares a name with the corporate registers of other states and nothing else.

Step 2: Confirm the incoming resident agent qualifies

The resident agent must have a physical Michigan street address and be available there during ordinary business hours. An individual resident works. A Michigan business entity works. A post office box does not, and neither does a mailbox rented in a shipping store, whatever suite number the receipt gives it.

Step 3: Set the registered office address as well as the agent

The certificate moves both. What Happens When a Michigan Resident Agent Stops Working

The entity is out of good standing throughout, so a certificate of good standing requested by a general contractor, a bonding company or a bank comes back refused.

Administrative dissolution. Keep missing and LARA removes the entity from the active register. The resident agent appointment ends with it, the name protection ends, and a company still trading under a dissolved entity is signing contracts whose enforceability somebody will eventually test.

Sixty months to fix it, which is the trap. Michigan allows reinstatement for 60 months after dissolution, one of the longest runways anywhere. Five years is long enough for every person who knew about the filing to have left, and the arrears accrue the whole time. Curing a three-year lapse means three Annual Statements at $25, the $50 penalty, monthly accruals that by then exceed the reports themselves, the reinstatement, and a tax position that has to be settled first.
