What Oregon Amended Articles Actually Do

Documents and supporting paperwork for an articles of amendment filing.
Documents and supporting paperwork for an articles of amendment filing.

Oregon calls the document Amended Articles rather than Articles of Amendment, and the distinction is worth noticing because the state also calls a certificate of good standing a Certificate of Existence and calls a DBA an assumed business name. The instrument replaces a stated provision of the Articles of Organization for an LLC or the Articles of Incorporation for a corporation. Use it for a change of legal name, a rewritten purpose clause, a shift between member and manager management, a change of duration, a corporation's authorised shares, and any optional provision the founders put on the public file. The fee is $100, which is double what most western registers charge, and standard processing runs 5 to 10 business days.

The expedite is $40 and returns the document in 1 to 3 business days rather than the same-day service some states sell. That is a middle option: fast enough for a closing planned a week out, not fast enough to rescue a date that is already tomorrow.

The annual report does carry some changes

Oregon is the exception among its neighbours. The $100 annual report, due on the entity's anniversary date, does accept some informational updates, which means a portion of what would need a $100 amendment elsewhere can travel on a filing the company owes anyway. What it cannot do is rewrite an article. A legal name change, a change of management structure, a new purpose clause or a change to authorised shares all need Amended Articles regardless of how convenient the report looks. Getting this boundary wrong in either direction costs money: filing an amendment for something the report would have carried wastes $100, and typing an article change into the report leaves the register unchanged. The report cycle and its $100 late penalty are set out in our Oregon annual report guide and on the state annual report page.

Five dollars against one hundred

Changing the registered agent, or moving the registered office to a new Oregon street address, is a Statement of Change of Registered Agent or Office at $5 under ORS § 60.111. Against a $100 amendment that is a twenty to one ratio, the widest gap between the right form and the wrong one anywhere in the region. An entity that files the amendment by mistake has spent $95 more than it needed to and still has to make the agent filing. An outgoing agent gives 30 days notice, which is regularly the moment a company finds out the agent named at formation stopped acting long ago. Our Oregon registered agent guide covers the appointment, and the state agent page carries the filing.

Annual report substitutes?Yes for some informational changes

Five steps. The first is the one that decides whether this costs $5, $100 or nothing beyond a report the company already owes.

Step 1: Sort the change onto the right form

Before drafting, place the change in one of three boxes. An agent or registered office move is the $5 statement. An informational update that the annual report accepts can wait for the report or be filed with it. Anything that alters a stated article, meaning the name, the purpose, the management structure, the duration or the shares, needs $100 Amended Articles. Sorting correctly at this stage is worth more than every other efficiency in the process combined.

Step 2: Take the vote the agreement requires

An LLC follows its operating agreement, and where the agreement is silent the Oregon Limited Liability Company Act supplies defaults that few multi-owner businesses would have chosen deliberately. Corporations follow their bylaws, and share changes go to a shareholder vote. Sign and date the consent before filing; the Business Registry accepts the document at face value and never asks who approved it, so the company's own file is the only evidence of authority. Where nothing is written down, our Oregon operating agreement guide is the place to begin.

Step 3: Clear the name, and the assumed business name

Search the Business Registry for anything not distinguishable from the proposed name. Then check for an assumed business name, because Oregon registers them at the state for $50 on a two-year renewal cycle, which is the shortest in the region and the easiest to let lapse. A company changing its legal name frequently holds an assumed name that points at the old one, and that filing needs its own attention. Our Oregon assumed business name guide sets out the renewal trap.

Step 4: Write the amended articles

Recite the entity name exactly as the Business Registry holds it, give the registry number, identify the article being replaced, set out the new text in full, and state the effective date. Sign as an authorised member, manager or officer. Filings are returned most often for a recited name that differs from the record by a designator or a punctuation mark.

Step 5: File through the Business Registry

Submit at sos.oregon.gov with the $100 fee. The $40 expedite compresses the queue to 1 to 3 business days, which is enough for a closing planned a week ahead and not enough for one planned tomorrow. If a Certificate of Existence is needed, it is $10 standard and takes the same $40 expedite, so ordering both at once is the efficient move.

Five Oregon Amendment Mistakes

Five errors account for most of the wasted money in Oregon amendment work, and the first two are both about form selection.

Mistake 01: A $100 fix for a $5 job

The mistakeFiling Amended Articles to change the registered agent or the registered office address.

Why it happensThe agent appears on the founding document, so it reads like an article to amend.

What it costsTwenty times the necessary fee, the widest such gap in the region, and the agent record still has to be corrected by its own $5 statement.

PreventionUse the Statement of Change of Registered Agent or Office. Keep Amended Articles for the name, the purpose, the management structure, the duration and the shares.

Mistake 02: Expecting the annual report to carry an article change

The mistakeAssuming that because the Oregon report accepts some informational updates, it will also carry a name or management change.

Why it happensOregon is genuinely more permissive here than its neighbours, which makes the boundary easy to overshoot.

What it costsThe register keeps the old article while the business operates on the new one, and the mismatch surfaces at a closing, a licence renewal or a bank review.

PreventionTreat the report as informational only. Anything that changes the text of an article goes on Amended Articles at $100.

Mistake 03: Letting the assumed business name lapse in the background

The mistakeChanging the legal name while an assumed business name registered years earlier quietly expires.

Why it happensOregon renews assumed business names every two years, the shortest cycle in the region, and the reminder is easy to miss.

What it costsThe company trades under a registration that has expired, pointing at an entity name that no longer exists, and a $50 renewal turns into a fresh registration.

PreventionCheck the assumed name position whenever the legal name changes and diary the two-year cycle alongside the annual report.

Mistake 04: Filing without the vote the agreement requires

The mistakeA managing member signs and files a structural change without meeting the operating agreement's threshold.

Why it happensThe Business Registry accepts the filing on its face and never asks for evidence of approval.

What it costsThe change stays open to challenge, and reconstructing consent during a sale runs to four figures against a $100 filing.

PreventionSign a dated written consent naming the threshold relied on, and keep it with the filed articles.

Mistake 05: Forgetting the registers outside Oregon

The mistakeTreating the Oregon filing as the end of a rename for an entity registered in other states.

Why it happensForeign registrations are quiet between annual filings and nothing prompts a review.

What it costsEach register keeps the old name, and each will want an Oregon Certificate of Existence, at $10 standard or $50 with the expedite, before it will act.

PreventionList the registered states before filing and order the certificates with the amendment. Our Oregon foreign qualification guide sets out the sequence.

What Happens When an Oregon Record Falls Behind

Oregon charges nothing for a formation document that has gone stale. It charges heavily for the annual report beside it, and the two problems usually appear together because both come from nobody reading the register. At $100 a year with a $100 penalty for lateness, Oregon has the steepest flat late charge in the region: a single missed anniversary doubles the cost of the year.

!

The penalty arithmetic on a lapsed Oregon record

  • Amended Articles filed on time: $100, or $140 with the expedite, and the register matches the business.
  • Wrong instrument: $100 spent where a $5 Statement of Change was the answer.
  • One anniversary missed: $100 still owed plus $100 in penalty, so the year costs twice what it should.
  • Three years missed: $600 to clear, being three reports at $100 and three penalties at $100, before any other filing is accepted.
  • Certificate of Existence: stops issuing while the entity is delinquent, which stalls closings, leases and registration in any other state.
  • Reinstatement: $100 for the application inside a 60 month window, on top of every missed report and penalty.

Two things work in the filer's favour. The reinstatement window is a generous five years, and Oregon does not require tax clearance before it will reinstate, so recovery stays in the company's own hands and typically completes in 5 to 10 business days. The arithmetic is the problem rather than the process: at $200 a year for a lapsed entity, a forgotten anniversary becomes a four figure bill faster than in any neighbouring state. The route back is in our Oregon reinstatement guide, and the way to avoid it is a diary entry and compliance monitoring.

Three Oregon Amendments in Practice

Three companies, the same $100 filing, and three different bills once form selection, approvals and other registers were counted.

Example · Single member

Example 1: A Portland sole member changes the legal name

A one-person industrial design studio had formed under the owner's own name and wanted the register to carry the studio brand before a trade show. She cleared the name against the Business Registry, checked and found an assumed business name from 2023 that was three months from expiry, signed a sole-member consent, and filed Amended Articles with the $40 expedite. The assumed name was renewed separately at $50 so both records pointed the same way.

State cost$190, being $140 for the expedited articles and $50 for the assumed name
Other spendAround $220 of her own time on bank, insurance and marketplace updates
TimelineTwo business days for the articles

Outcome: Legal name, assumed name and trade show materials all agreed, and an expiry she had not known about was caught in passing.

Example · Multi-member, approval required

Example 2: A Eugene LLC moves to manager management

Four members of a food manufacturing company had appointed one of their number as manager two years earlier without amending the Articles of Organization, which still described a member-managed business. A co-packing agreement put the discrepancy in front of a lawyer. The operating agreement required a three quarters vote, gathered over ten days, and the review also found the previous year's annual report had been filed a month late, which had cost $200 rather than $100.

State cost$100 for the articles on standard processing, after $200 already paid on the late report
Other spendAbout $1,500 in legal time documenting two years of manager decisions
TimelineEight business days at the registry, three weeks including the vote

Outcome: The agreement was signed, and the group moved both the report date and the assumed name renewal onto one calendar.

Example · Foreign-qualified entity

Example 3: A rename that had to reach three other states

An Oregon-formed outdoor equipment company registered in three other states rebranded after buying a competitor's product line. Oregon was amended first, because each of the three registers required an Oregon Certificate of Existence issued in the new name before it would act. The company took the $40 expedite on both the articles and the certificates, then worked the out-of-state filings over the following three weeks in the order their renewal dates fell.

Oregon cost$140 for the expedited articles, plus $50 for the first expedited certificate and $10 for each further copy
Other spendThree out-of-state amendment fees at each state's own rate
TimelineTwenty three days from the Oregon filing to the last foreign register

Outcome: Four registers aligned before the rebrand went public, with certificates used inside their 60 day validity.

After Oregon Records the Change

Keep the filed Amended Articles with the original founding document, because the two are read together by lenders, buyers and other states' registers. Then work outward: bank mandate and card processing, IRS Form 8822-B where the responsible party or address moved, insurance, customer and supplier contracts, professional and occupational licences, domains and platform accounts, the assumed business name and its two-year renewal, and every out-of-state registration. Order the Certificate of Existence that each of those registers asks for while the record is fresh. Anyone working through the wider Oregon sequence will find it in our Oregon LLC guide.

How File.Business Handles Oregon Amendments

The first thing we do on an Oregon file is sort the change, because the difference between the $5 statement, the annual report and $100 Amended Articles is worth more than anything else in the process. From there we reconcile the recited name against the Business Registry record, clear the proposed name, check the assumed business name and its renewal date, prepare the consent or shareholder vote at the threshold the governing documents set, file at sos.oregon.gov with the $100 fee and the $40 expedite where a date requires it, order the Certificates of Existence the downstream registers will demand, and return a checklist covering banking, tax, licences and out-of-state registrations. The state-facing detail is on our Oregon articles of amendment page.

When an Oregon amendment is worth delegating

A sole owner making one clear article change should file it alone for $100. Delegation earns its keep when the change might belong on the report or the $5 statement and nobody is certain which, when an assumed business name and a legal name have to move together, when a corporation is restating shares before a financing, or when a rename has to reach several registers inside a certificate validity window. Keeping the anniversary from being missed at $200 a year is compliance monitoring.

Frequently Asked Questions

How much do Amended Articles cost in Oregon?

The Secretary of State charges $100 for the amendment, which Oregon calls Amended Articles. Expedited handling adds $40 and returns the document in 1 to 3 business days.

How long does an Oregon amendment take?

Standard processing runs 5 to 10 business days and the $40 expedite compresses that to 1 to 3 business days. Oregon does not sell same-day service, so a date that is already tomorrow cannot be rescued by paying more.

Can the Oregon annual report change my LLC name?

No. The $100 annual report does accept some informational updates, which is unusual among western states, but it cannot rewrite an article. A legal name, a purpose clause, a management structure or a share provision all require Amended Articles.

Is a registered agent change an amendment in Oregon?

No, and the difference is the largest in the region. Moving a registered agent or registered office is a Statement of Change of Registered Agent or Office at $5, against $100 for Amended Articles. An outgoing agent must give 30 days notice before resigning.

What does a late Oregon annual report cost?

The $100 fee remains due and a $100 penalty is added, so a missed anniversary doubles the cost of the year. Three missed years come to $600, and the Certificate of Existence stops issuing while the entity is delinquent. Reinstatement costs $100 inside a 60 month window on top of the arrears.

Do I need to renew my assumed business name too?

Oregon registers assumed business names at the state for $50 and renews them every two years, the shortest cycle in the region. A legal name change does not touch that registration, so both records have to be moved before they agree.

Can File.Business file an Oregon amendment?

Yes. We sort the change onto the correct instrument first, reconcile the recited name against the Business Registry record, check the assumed name position, prepare the consent, file with the $100 fee and the $40 expedite, and supply the Certificates of Existence other registers will ask for.
