How to Foreign-Qualify Your LLC or Corporation in Massachusetts (2026 Guide)

Massachusetts gives corporations ten days from the day they start trading to file, charges LLCs $500 to register and $500 again every year, and calls the agent a resident agent. This guide covers both forms, the real fee ladder, the section 15.02 consequences and the Department of Revenue accounts that follow.

What Massachusetts Actually Asks For

Massachusetts runs a two-track system, and the tracks price very differently. A corporation formed elsewhere files a Foreign Corporation Certificate of Registration under M.G.L. c. 156D § 15.03. It pays $400 on paper, or $375 plus a $15 expedite charge online.

A limited liability company formed elsewhere files a Foreign Limited Liability Company Application for Registration under M.G.L. c. 156C § 48. It pays $500 on paper or $520 online. Same Commonwealth, same division. A $100 to $130 gap, decided entirely by which entity form you chose years ago in another state.

The gap widens after registration. A foreign corporation's annual report costs $125 on paper and $110 online. A foreign LLC's costs $500 on paper and $520 online, every year, in perpetuity.

That is the single largest recurring entity fee of any state in this guide. It is the number that most often makes an operator ask whether the Massachusetts presence is really worth registering. Usually it is, because the alternative is section 15.02.

What does not count as transacting business here

M.G.L. c. 156D § 15.01 is the section that requires a foreign corporation transacting business in the Commonwealth to register here, and subsection (c) sets out nine activities that do not amount to transacting business. Maintaining, defending or settling a proceeding. Holding board or shareholder meetings and other internal corporate affairs. Maintaining bank accounts. Maintaining offices or agencies for the transfer, exchange and registration of the corporation's own securities.

Selling through independent contractors. Soliciting or obtaining orders, by mail or through employees or agents, where the orders require acceptance outside the Commonwealth. An isolated transaction that is not one of a series of similar transactions. Transacting business in interstate commerce. Activities regulated under chapter 167 or chapter 175, where the company complies with those chapters.

Two of those carry more weight in practice than the rest. Selling through independent contractors is a genuine safe harbor. That is why manufacturers' representative arrangements survive without registration.

The order-acceptance rule turns on where acceptance happens, not where the buyer sits. So a sales team that can sign in Boston has crossed a line. A sales team routing every order to a head office elsewhere has not.

The ten-day rule most filers have never read

The Corporations Division states that a foreign corporation must file its certificate of registration within ten days of commencing business in Massachusetts. Nobody meets it. Companies sign a lease in March, hire in April and register in July. The Division files the certificate without comment.

The ten-day rule matters anyway. Section 15.02 measures the Commonwealth's monetary claim from the date the company should have filed, not from the date it eventually did.

Working Through the Massachusetts Filing

The Massachusetts sequence is short, but the fee ladder is unusually layered. The order below is written to avoid paying twice.

Step 1: Get the home-state certificate of legal existence

Both Massachusetts forms carry the same instruction. Attach a certificate of legal existence, or a certificate of good standing, issued by the officer or agency responsible in the jurisdiction of organization.

Neither form prints an expiry date on its face. That sounds generous and is not. The Division reviews the document for currency and will query one that is visibly old. A query costs you the whole review cycle.

Order it close to the filing date. Treat 60 days as the practical outside edge, even though the form does not say so.

Massachusetts also issues two documents of its own. There is a certificate of good standing from the Secretary of the Commonwealth, and a separate tax good standing certificate from the Department of Revenue. Step 2: Clear the name, and have a fallback drafted

The Corporations Division will not register a name that is not distinguishable from one already on its records. If yours is taken, both statutes let you register under a different name that you agree to use in the Commonwealth. That sits on the form itself rather than in a separate application.

Massachusetts also runs a separate business certificate regime at city and town level under chapter 110, section 5. That is what a local clerk means when they ask for a d/b/a filing. It is entirely distinct from the Secretary's register.

Step 3: Appoint a resident agent who has agreed to serve

Massachusetts uses resident agent throughout the LLC statute and the forms. The corporate form requires the agent to consent to the appointment in writing on the filing.

That consent requirement is not decorative. A registration naming an agent who never agreed is defective. The defect surfaces at the least convenient moment, usually when service of process fails.

Step 4: File the certificate or the application

Corporations lodge the Foreign Corporation Certificate of Registration. LLCs lodge the Foreign Limited Liability Company Application for Registration.

The corporate filing is cheaper online than on paper: $375 plus a $15 expedite charge, against $400 by mail. The LLC filing is dearer online: $500 plus a $20 expedite charge, against $500 by mail.

No other state in this guide has an online channel that saves money on one entity type and costs money on the other. It is worth a moment's arithmetic before you choose. Online filings are reviewed quickly. Paper filings queue.

Step 5: Diary the annual report against the right date

Massachusetts does not use a common renewal date. The two entity types do not even use the same kind of date.

A foreign corporation files its annual report within two and a half months after the close of its fiscal year. So a December year end produces a mid-March deadline, and a June year end produces a mid-September one.

What Happens If You Trade in Massachusetts Unregistered

Chapter 156D, section 15.02(a) is the sanction with teeth. A foreign corporation transacting business in the Commonwealth without delivering the certificate required by section 15.03 shall not maintain a proceeding in any court in the Commonwealth. That bar lifts once the certificate is delivered and filed.

Your counterparty keeps every right it had. You lose the ability to enforce, and you lose it at the moment you most need it.

The money claim sits underneath. Section 15.02 makes the company liable to the Commonwealth for all fees that would have accrued had the certificate been filed on time. Interest and penalties for non-payment come with them.

It adds a further amount for each month, or part of a month, that the company transacted business without filing. The Secretary of the Commonwealth determines that amount. It is subject to the cap the commissioner of administration sets under chapter 7, section 3B.

The first ten days after the certificate is filed are excluded. The Attorney General may bring proceedings to collect. The Attorney General may also seek an injunction stopping the company operating in Massachusetts until it pays.

Put concrete numbers on a common shape. Say an LLC traded in Massachusetts for three years before registering. It owes the $500 application and three annual reports at $500 each, with interest and monthly amounts on top.

That is $2,000 in bare filing fees before the Commonwealth has assessed a penny of penalty. The same company filing in its first month would have paid $500.

What it costs to stay registered

For a corporation, budget $125 a year for the report, or $110 if you file online. Add $99 to $300 for a commercial resident agent. For an LLC, budget $500 to $520 a year plus the same agent cost.

The LLC figure is high enough that some operators genuinely reconsider structure. Say it plainly, though. Converting entity type purely to dodge a Massachusetts report fee usually costs more in tax and legal work than it saves.

If the report is missed for long enough, the Division moves to revoke. The way back runs through reinstatement rather than a fresh registration. That preserves the original filing date and the name. The Department of Revenue Is a Separate Registration

Filing with the Secretary of the Commonwealth opens nothing at the Department of Revenue. A company with Massachusetts activity registers separately through MassTaxConnect, for the accounts its facts require. Withholding, once there is Massachusetts payroll. Sales and use tax, if it sells taxable goods or services. Room occupancy or meals tax in the trades that carry them. And the corporate excise under chapter 63 for corporations.

The corporate excise has a floor that applies even in a loss year. That surprises founders who assume a Massachusetts filing obligation follows Massachusetts profit.

There is a further Massachusetts wrinkle for the trades. A foreign corporation seeking home improvement contractor registration has to register with the Corporations Division first. So in construction the corporate filing is a licensing prerequisite, not merely a legal formality.

Three Massachusetts Registrations in Practice

Example 01: a New York LLC opens a Seaport office

Kettleworth Design LLC, formed in New York, took a small office in Boston's Seaport and moved five staff across. What we did: ordered the New York certificate of existence, and filed the Foreign LLC Application for Registration online at $520. We appointed a resident agent. We opened the MassTaxConnect withholding account in the same week, so the first Massachusetts payroll ran clean.

Cost: $520 to the Commonwealth, $25 for the New York certificate, $149 for the agent. Time: four business days to registration. Result: registered before the first pay run, with the $500 annual report calendared against the registration anniversary rather than a guessed date.

Example 02: a contractor discovers it cannot sue

A Rhode Island glazing subcontractor worked two Worcester projects across 14 months. It then sought $96,000 in retainage from the general contractor. The general's counsel checked the Corporations Division register, found nothing, and cited section 15.02.

What we did: filed the Foreign Corporation Certificate of Registration online at $390. We brought the corporate excise and withholding accounts current for the periods worked. Then we refiled the demand once the certificate was on the record.

Cost: $390 in state fees, plus roughly $3,600 in accounting for the back periods. That is before the Commonwealth's own section 15.02 assessment. Time: five business days on the filing, seven weeks on the tax cleanup. Result: the claim was revived, several months later than it should have been.

Example 03: an LLC prices the $500 annual report before committing

A Connecticut specialty food producer wanted a small Massachusetts distribution point. It asked whether registration was avoidable.

What we did: mapped the activity against section 15.01(c). Selling through an independent distributor who accepts orders in Connecticut sits inside the safe harbor. Leasing a Chicopee unit, stocking it and employing two people in it does not.

Cost of registering: $520 up front and $520 a year. Cost of not registering: the section 15.02 bar on enforcement, plus back fees measured from the tenth day of trading.

Result: the client registered. It moved the annual report into the same quarterly compliance review as its other states, through compliance monitoring.

Five Mistakes That Cost Massachusetts Filers Money

These recur on Massachusetts files often enough to be worth naming.

Mistake 1: Assuming no printed expiry means no expiry

Neither Massachusetts form states how old the home-state certificate may be. Filers read that silence as permission to attach whatever is in the folder. The Division reads currency into the requirement and queries documents that are obviously stale. Order the certificate for the filing, not from the archive.

Mistake 2: Confusing the municipal business certificate with the state register

A Massachusetts city clerk issues a business certificate under chapter 110, section 5. The Secretary of the Commonwealth maintains the entity register. They are different systems with different searches.

A company that holds a Boston business certificate has established nothing about whether its entity name is available statewide. Search the Corporations Division index before you commit to signage.

Mistake 3: Naming a resident agent who never consented

The Massachusetts corporate form requires the resident agent's consent on the face of the filing. Name a friendly accountant without asking and you get a registration that looks clean. It fails when a summons arrives at an address where nobody has agreed to receive it. Get the consent, and confirm the street address is one the agent still occupies.

Mistake 4: Docketing the corporate report against December 31

A Massachusetts corporate annual report is due two and a half months after the close of the corporation's fiscal year. It is not tied to a fixed calendar date.

Companies with a June or September year end calendar March by habit. They file six months late and pay $150 instead of $125. Set the reminder from the fiscal year end recorded in the filing. Then check that the year end the Division holds is the one you actually use.

Mistake 5: Filing on the wrong side of the paper and online split

Massachusetts prices the two channels inconsistently. Corporations save $10 filing online. LLCs pay $20 more. Change of resident agent is free electronically and $25 on paper.

A company that always files online, or always files on paper, overpays somewhere. Check the fee schedule per document rather than per habit.

Closing a Massachusetts Registration Properly

You surrender a registration you no longer need by filing a certificate of withdrawal. The reason to bother is arithmetic. An abandoned foreign LLC registration keeps generating a $500 annual report obligation on every anniversary. The Commonwealth does not stop counting because you stopped trading.
