Do I have to record trademark assignments?
Not strictly required for the assignment to be valid between buyer and seller. But recordation is required to enforce against third parties (especially subsequent purchasers without notice). Industry standard practice is to record all assignments.
What is goodwill?
The intangible business value associated with a trademark: customer recognition, market reputation, brand equity. Trademark law requires goodwill to transfer with the mark; assignments 'in gross' (without goodwill) are invalid.
What about pending applications?
Pending applications can be assigned the same way as registrations, with the same goodwill requirement. The assignment is recorded with USPTO and the assignee continues prosecuting the application.
Do I need a separate assignment for each mark?
No. One assignment document can cover multiple marks. Often a single assignment covers an entire portfolio in an M&A transaction. Recording fee is per assignment document, not per mark.
What is the USPTO fee?
$40 for the first mark plus additional per-mark fees. Multi-mark assignments are cheaper per mark than separate single-mark assignments.
What about foreign trademark registrations?
Each jurisdiction has its own recording requirement. WIPO Madrid Protocol allows central recording for international registrations. Direct national registrations require per-country recording. We coordinate for global portfolios.
