  • It's called "Biennial Statement," not "Annual Report." Filed every 2 years, not annually. $9 fee (cheapest in US).
  • NY LLC PUBLICATION REQUIREMENT is unique and expensive. Within 120 days of formation, the LLC MUST publish notice in 2 newspapers (one weekly, one daily) for 6 consecutive weeks in the county where the LLC's principal…
  • Failure to publish suspends the LLC's authority to transact business in NY after the 120-day window. Entity is NOT dissolved but can't sue or maintain action in NY courts. The penalty is lost ability to enforce contracts, not loss of liability protection.
  • Biennial Statement filing fee is $9 for both LLC and Corp. Same fee. Different cadence than most states (biennial, not annual).
  • NY has no "annual report" filed at SOS for Corps either. Corp also files Biennial Statement at $9.
  • NY corporate franchise tax (Article 9-A) is separate and filed with NY Department of Taxation and Finance. Wizard must remind customers.
  • Reinstatement under Tax Law §203-a is $50 (plus additional fee if reinstatement filed more than 3 months after dissolution).
