  • State Business License fees are entity-type dependent. $500/year for Corporations (NRS 76), $200/year for LLCs and all other entity types. This is a distinct Nevada concept. Most other states don't have a separate state business license at the SOS.
  • Corporation Annual List fee is tiered by authorized stock value, not flat. Per NRS 78.150: $150 for shares ≤ $75K, $200 for $75K-$200K, $300 for $200K-$500K, $400 for $500K-$1M, then $275 per additional $500K, max $11,125. LLC Annual List is flat $150.

  • Late penalties stack. Annual List late: $75 (NRS 86.272 for LLC, NRS 78.150 for Corp). Business License late: $100 (NRS 76.130). If both lapse together, total late cost = $175 in penalties on top of the $350-650 base.
  • Reinstatement is $300 PLUS all delinquent fees + penalties. Per NRS 86.276/78.180. A 2-year-defaulted LLC can owe $300 + (2 × $150 list) + (2 × $200 license) + (2 × $75 list penalty) + (2 × $100 license penalty) = $1,250+ to come current.
  • No member/manager disclosure of SSN on Annual List. Names appear on the public List, but no fiscal data, no SSN, no ownership percentage. Privacy advantage over CA/NY (similar to WY/DE in this regard).
  • No state personal income tax, no corporate income tax, no franchise tax. State sales tax 6.85% base. Modified Business Tax (payroll-based, NRS 363A/B) does apply to employers > $50K quarterly payroll.
