About the SOW Template Generator.

Can I use an SOW without an MSA?
Yes but it is risky. Without an umbrella MSA, the SOW has to include all the MSA terms (payment, IP, termination, indemnification, liability cap). That makes the SOW long and complicated. For one-off projects with new clients, a standalone SOW is OK. For repeat business, an MSA + short SOWs is much cleaner.
What goes in the SOW vs. the MSA?
MSA: payment terms, IP ownership rules, termination, indemnification, liability cap, governing law. SOW: project-specific deliverables, timeline, milestones, fees, acceptance criteria, change order process. SOW is the project; MSA is the relationship.
What if the project scope changes?
Use a written change order: new deliverable, new fee, new timeline, both parties sign. Our SOW template includes a change order template. Verbal scope changes are the most common reason agencies do not get paid.
How do I set milestone payments?
Most common: 30% on signing, 30% at midpoint, 40% on acceptance. Other patterns: 50/50, monthly retainer, full prepay (for short projects), pay-on-acceptance only (rare and risky). We default to 30/30/40.
What are acceptance criteria?
The specific test the client uses to confirm a deliverable is finished. Examples: passing test cases for software, design files in specified formats, content published on the live site. Acceptance triggers the final payment. Without acceptance criteria, the final payment is at the client's discretion (bad).
Can I do an SOW for a recurring project?
Yes. Many SOWs are monthly retainers or recurring services (managed hosting, ongoing marketing, monthly bookkeeping). The SOW defines the recurring deliverable and fee, the change order process for adjustments, and the termination notice required.
