Why not use Terms of Service for B2B SaaS?
Enterprise buyers want a real signed agreement, not click-through ToS. ToS is fine for self-serve customers paying monthly with a credit card. For annual contracts, MSA + DPA + SLA is required by enterprise procurement.

Do I need a DPA?
If any of your customers have EU users whose data flows through your platform, yes. GDPR Article 28 requires a written processor agreement. Same for UK (UK GDPR) and Switzerland. Many US states are catching up; the DPA is becoming standard regardless.
Can I auto-renew the contract?
Yes with proper notice. Standard: annual auto-renew with 60-day non-renewal notice. CA Auto-Renewal Statute and NY require specific notice language for B2C; some B2B carve-outs apply. We include the right language for your buyer's state.
Who owns customer data?
Customer owns their data. Provider has a license to use the data only to provide the service and as permitted by the DPA. On termination, provider returns the data and deletes within 30-90 days (depending on industry).
What about indemnification?
Provider indemnifies for IP infringement of the SaaS platform. Customer indemnifies for misuse of the platform (uploading illegal content, violating the AUP). Mutual indemnification with a liability cap (typically 12 months of fees, uncapped for IP and breaches of confidentiality).
