Terms of Service

1. Acceptance

By accessing or using File.Business services, you agree to these Terms of Service ("Terms"). If you are using the services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Services

File.Business provides business document filing and compliance services. We are not a law firm, accounting firm, or financial advisory firm. We do not provide legal, tax, or financial advice. Our services consist of preparing and filing documents you authorize with state and federal agencies, plus related platform tools. You may file these same documents directly with the relevant government agency without using our services.

3. Account

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized access.

4. Fees and payment

Our service fees are listed on our pricing page. State filing fees are passed through at the rate the state charges; we do not mark them up. You authorize us to charge your payment method for services you purchase. Recurring services (Compliance Annual Filings at $129/year, Registered Agent at $149/year, Virtual Business Address at $149/year, Compliance Monitoring at $79/year) auto-renew until cancelled. Cancel from your account dashboard. Refund policy in a separate document.

5. Your responsibilities

You are responsible for the accuracy of information you provide. We file documents based on what you supply; if your information is incorrect, the filing will be incorrect. You are responsible for reviewing drafts before authorizing filing. Once a document is filed with a state, the state's fees are not refundable from us, because the state does not refund them to us.

6. Restricted industries

We do not provide services to businesses in the following industries: cannabis (regardless of state legality), adult entertainment, firearms manufacturing or retail, gambling outside of standard licensed casinos, and money services businesses (MSBs). We reserve the right to decline service to any business at our discretion.

7. Intellectual property

The File.Business platform, including software, content, designs, and trademarks, is owned by File Business Inc. and protected by copyright, trademark, and other laws. You receive a limited license to use the platform for your business purposes. You may not copy, redistribute, or create derivative works without our written consent.

8. No legal advice

Information on our website and in our platform is for informational purposes only. It does not constitute legal, tax, accounting, or financial advice. Use of our services does not create an attorney-client relationship. Consult a licensed professional for advice on your specific situation. Our accountant directory introduces you to independent practitioners; we are not responsible for the advice they provide.

9. Disclaimer of warranties

The services are provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the services will be uninterrupted or error-free, that defects will be corrected, or that the services or servers are free of viruses or other harmful components.

10. Limitation of liability

To the maximum extent permitted by law, File Business Inc., its officers, directors, employees, and agents are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from your use of the services. Our total liability for any claim arising under these Terms is limited to the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless File Business Inc. from claims arising out of your use of the services, your violation of these Terms, or your violation of any rights of another party.

12. Termination

You may close your account at any time. We may suspend or terminate your account if you violate these Terms, fail to pay fees, or use the services for restricted purposes. Filings already submitted to the state are not reversed by account termination.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any dispute arising from these Terms or your use of the services will be resolved by binding arbitration in Wilmington, Delaware, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Changes

We may update these Terms. Material changes will be communicated by email at least 30 days before they take effect. Continued use of the services after the effective date constitutes acceptance.
