When would I file Form 8832?
When you want to change your entity's federal tax classification. Common cases: an LLC electing C-Corp taxation to enable Form 2553 S-Corp election or to take advantage of corporate tax rates, an LLC reverting from C-Corp to partnership default, or a foreign entity electing US tax classification.
What is the difference between Form 8832 and Form 2553?
Form 8832 chooses your tax classification (C-Corp, partnership, or disregarded). Form 2553 is the further election to be taxed as an S-Corp (which is a sub-flavor of C-Corp taxation). LLCs that want S-Corp status file Form 8832 first (electing C-Corp), then Form 2553. Under IRS shortcut rules, an LLC may file Form 2553 alone, treated as if Form 8832 was filed first.
Is there an IRS fee for Form 8832?

Can I change my classification more than once?
Generally no. After a Form 8832 election, the entity is locked into that classification for 60 months. The IRS grants exceptions only in limited circumstances (more than 50% ownership change, for example).
Does Form 8832 affect state tax classification?
Most states follow the federal classification automatically. A few states require a separate state-level election. Check with your state tax department or your CPA. We do not advise on state tax classification.
