When is the deadline to file Form 2553?
For a new entity: within 75 days of formation if you want S-Corp status from day one. For an existing entity: within 2 months 15 days after the start of the tax year you want the election to take effect. Calendar-year entities switching mid-year file by March 15.
What if I missed the Form 2553 deadline?
Use Rev. Proc. 2013-30 late-election relief. Available within 3 years 75 days after the intended effective date if you can show reasonable cause for missing the original deadline. We handle this for $249.
Can my LLC elect S-Corp status?
Yes. An LLC files Form 8832 (entity classification election) electing C-Corp tax treatment simultaneously with Form 2553. Or under IRS shortcut rules, an LLC can file Form 2553 alone and be treated as if it filed Form 8832 first.
How long until the IRS confirms the election?
60 days for CP 261 acknowledgement, sometimes longer during peak season (January through April). If 90 days pass without CP 261 we call the IRS Business Specialty Tax Line to confirm receipt.
Does S-Corp election require a reasonable salary?
Yes. The owner-employee must take a W-2 salary that is reasonable for the work performed before taking distributions. The IRS audits S-Corp owners who pay themselves $0 salary and take all profit as distributions. We refer to our payroll partner for the salary calculation.
Can I revoke the S-Corp election later?
Yes. File a statement of revocation with the IRS. If revoked, the entity cannot re-elect S-Corp status for 5 years without IRS consent. We do not currently offer revocation as a service but can refer you.
