What is administrative dissolution?
State dissolves the entity for failure to maintain compliance (typically missing annual report). Entity loses legal capacity but can be revived. In Florida, dissolution is automatic after May 1 deadline missed.
How long do I have to reinstate?
5 years from administrative dissolution. Within 5 years, revival restores continuous existence. After 5 years, permanent dissolution; must form new entity.
What does reinstatement cost in fees?
