About the California Statement of Information Service.

What is the Statement of Information?
California's biennial entity-information update. LLCs file Form SI-200; corporations file Form SI-550. Updates the state on officers/directors/members, agent for service of process, principal office.
When is it due?
Initial filing within 90 days of registration. Subsequent biennial filings due during the anniversary month of registration. Filing period opens 6 months before the deadline and closes on the deadline.
What if I miss it?
California Franchise Tax Board suspends the entity. Suspended entities lose legal capacity (cannot sue, defend, contract effectively). Revival requires filing past SOIs, paying $250 penalty, plus revival fee.
Does this replace annual report?
California does not have a separate 'annual report' for LLCs or corporations. The biennial Statement of Information is the equivalent ongoing filing. (California does have an annual Franchise Tax separately.)
Can I file myself?
Yes through California SOS BizFile portal. The form itself is simple. The challenge is the biennial deadline tracking - many businesses miss it because it does not feel annual. Our service handles tracking.
What is the California Franchise Tax?
Separate annual tax of $800 minimum due each year regardless of revenue (plus additional tax above $250K revenue for LLCs). Paid to Franchise Tax Board. Different from the SOI filing. We can also handle Franchise Tax if needed.
