Step 1: Check what the incoming agent is allowed to be
An individual who lives in Mississippi qualifies if there is a physical street address in the state and somebody present during business hours. What Happens When the Mississippi Agent Record Goes Stale
Mississippi's fees are among the lowest in the country, so it is tempting to treat the whole compliance stack as low stakes. The fees are low. The consequences are not.
Default judgment from a delivery nobody collected. Service to the agent address on the register is effective service. The answer period runs from delivery, and a defendant who does not appear has judgment entered for the amount claimed. A $120,000 claim on a construction retainage dispute becomes a $120,000 judgment without any finding about the work. The motion to set it aside is argued against your own filed address, which is a difficult place to argue from.
April 15 and the $50. The Annual Report is $25 and Mississippi adds a $50 penalty once the date passes, so the penalty is twice the report. Two missed years is $50 in reports and $100 in penalties, and the entity leaves good standing from the first miss, so a certificate of good standing asked for by a bonding company, a bank or another state's registry comes back refused.
Administrative dissolution. Continue missing and the Secretary of State removes the entity from the active register. The agent appointment ends, the name stops being protected, and a business still trading under the dissolved entity is signing contracts that somebody will later test.
Thirty-six months to cure. Mississippi allows an Application for Reinstatement for 36 months after dissolution, and expects the tax position to be settled first. Curing a three-year lapse means three Annual Reports at $25, three $50 penalties, the reinstatement filing and the clearance wait, against a $25 statement that would have kept the notices arriving. Miss the window and the entity ends for good; forming again costs $50, with a new date, a released name and no continuity of contracts or licences.
Five Mistakes That Slow a Mississippi Filing

Mistake 1: Naming a company that is not authorised in Mississippi
