Foreign Qualification

How to Foreign-Qualify Your LLC or Corporation in Massachusetts (2026 Guide)

Massachusetts gives corporations ten days from the day they start trading to file, charges LLCs $500 to register and $500 again every year, and calls the agent a resident agent. This guide covers both forms, the real fee ladder, the section 15.02 consequences and the Department of Revenue accounts that follow.

What Massachusetts Actually Asks For

Massachusetts runs a two-track system and the tracks price very differently. A corporation formed elsewhere files a Foreign Corporation Certificate of Registration under chapter 156D, section 15.03, and pays $400 on paper or $375 plus a $15 expedite charge if it files online. A limited liability company formed elsewhere files a Foreign Limited Liability Company Application for Registration under chapter 156C, section 48, and pays $500 on paper or $520 online. Same Commonwealth, same division, a $100 to $130 gap decided entirely by which entity form you chose years ago in another state.

The gap widens after registration. A foreign corporation's annual report costs $125 on paper and $110 online. A foreign LLC's costs $500 on paper and $520 online, every year, in perpetuity. That is the single largest recurring entity fee of any state in this guide and it is the number that most often makes an operator ask whether the Massachusetts presence is really worth registering. Usually it is, because the alternative is section 15.02.

A brick and glass office building in a New England city at dusk with lights on.
Massachusetts expects a foreign corporation to file within ten days of the day it starts trading here, not within ten days of deciding to.

What does not count as transacting business here

Chapter 156D, section 15.01(c) sets out nine activities that do not amount to transacting business in the Commonwealth. Maintaining, defending or settling a proceeding. Holding board or shareholder meetings and other internal corporate affairs. Maintaining bank accounts. Maintaining offices or agencies for the transfer, exchange and registration of the corporation's own securities. Selling through independent contractors. Soliciting or obtaining orders, by post or through employees or agents, where the orders require acceptance outside the Commonwealth. An isolated transaction that is not one of a series of similar transactions. Transacting business in interstate commerce. Activities regulated under chapter 167 or chapter 175, where the company complies with those chapters.

Two of those carry more weight in practice than the rest. Selling through independent contractors is a genuine safe harbour, which is why manufacturers' representative arrangements survive without registration. And the order-acceptance rule turns on where acceptance happens, not where the buyer sits, so a sales team that can sign in Boston has crossed a line that a sales team routing every order to a head office elsewhere has not.

The ten-day rule most filers have never read

The Corporations Division states that a foreign corporation is required to file its certificate of registration within ten days of commencing business in Massachusetts. Nobody meets it. Companies sign a lease in March, hire in April and register in July, and the Division files the certificate without comment. The ten-day rule matters anyway, because section 15.02 measures the Commonwealth's monetary claim from the date the company should have filed, not from the date it eventually did.

Working Through the Massachusetts Filing

The Massachusetts sequence is short but the fee ladder is unusually layered, so the order below is written to avoid paying twice.

Step 1: Get the home-state certificate of legal existence

Both Massachusetts forms carry the same instruction: attach a certificate of legal existence, or a certificate of good standing, issued by the officer or agency responsible in the jurisdiction of organization. Neither form prints an expiry date on its face, which sounds generous and is not. The Division reviews the document for currency and will query one that is visibly old, and a query costs you the whole review cycle. Order it close to the filing date and treat 60 days as the practical outside edge even though the form does not say so. Massachusetts also issues two different documents of its own, a certificate of good standing from the Secretary of the Commonwealth and a separate tax good standing certificate from the Department of Revenue, and our Massachusetts certificate of good standing guide explains which one a counterparty is actually asking for.

Step 2: Clear the name, and have a fallback drafted

The Corporations Division will not register a name that is not distinguishable from one already on its records. If yours is taken, both statutes let you register under a different name that you agree to use in the Commonwealth, which is set out on the form itself rather than in a separate application. Massachusetts also runs a separate business certificate regime at city and town level under chapter 110, section 5, which is what a local clerk means when they ask for a d/b/a filing, and it is entirely distinct from the Secretary's register. Our Massachusetts business certificate guide covers that municipal filing and when a registered entity still needs one.

Step 3: Appoint a resident agent who has agreed to serve

Massachusetts uses resident agent throughout the LLC statute and the forms, and the corporate form requires the agent to consent to the appointment in writing on the filing. That consent requirement is not decorative. A registration naming an agent who never agreed is defective, and the defect surfaces at the least convenient moment, usually when service of process fails. The agent needs a Massachusetts street address. Our Massachusetts resident agent guide covers the appointment and the consent language, and changing a Massachusetts resident agent is free when filed electronically and $25 on paper, which is one of the few places the Commonwealth rewards online filing outright. File.Business serves as resident agent at $99 a year through our registered agent service.

Step 4: File the certificate or the application

Corporations lodge the Foreign Corporation Certificate of Registration; LLCs lodge the Foreign Limited Liability Company Application for Registration. The corporate filing is cheaper online than on paper, at $375 plus a $15 expedite charge against $400 by post. The LLC filing is dearer online, at $500 plus a $20 expedite charge against $500 by post. There is no other state in this guide where the online channel saves money on one entity type and costs money on the other, and it is worth a moment's arithmetic before you choose the channel. Online filings are reviewed quickly; paper filings queue.

Step 5: Diary the annual report against the right date

Massachusetts does not use a common renewal date, and the two entity types do not even use the same kind of date. A foreign corporation files its annual report within two and a half months after the close of its fiscal year, so a December year end produces a mid-March deadline and a June year end produces a mid-September one. A foreign LLC files on or before the anniversary of the date its registration was filed. Corporations pay $125, or $110 filed online, and $150 if it goes in late. LLCs pay $500, or $520 online. Our Massachusetts annual report guide covers both cycles and the late position.

What Happens If You Trade in Massachusetts Unregistered

Chapter 156D, section 15.02(a) is the sanction with teeth: a foreign corporation transacting business in the Commonwealth without delivering the certificate required by section 15.03 shall not maintain a proceeding in any court in the Commonwealth until the certificate is delivered and filed. Your counterparty keeps every right it had. You lose the ability to enforce, and you lose it at the moment you most need it.

The money claim sits underneath. Section 15.02 makes the company liable to the Commonwealth for all fees that would have accrued had the certificate been filed on time, together with the interest and penalties that attach to non-payment, and it adds a further amount for each month or part of a month during which the company transacted business without filing, in an amount determined by the Secretary of the Commonwealth subject to the cap set by the commissioner of administration under chapter 7, section 3B. The first ten days after the certificate is filed are excluded. The Attorney General may bring proceedings to collect and may seek an injunction stopping the company operating in Massachusetts until it pays.

Put concrete numbers on a common shape. An LLC that traded in Massachusetts for three years before registering owes the $500 application, three annual reports at $500 each, and the interest and monthly amounts on top. That is $2,000 in bare filing fees before the Commonwealth has assessed a penny of penalty, against $500 if the same company had filed in its first month.

What it costs to stay registered

For a corporation, budget $125 a year for the report, or $110 if you file online, plus $99 to $300 for a commercial resident agent. For an LLC, budget $500 to $520 a year plus the same agent cost. The LLC figure is high enough that some operators genuinely reconsider structure, and it is worth saying plainly that converting entity type purely to dodge a Massachusetts report fee usually costs more in tax and legal work than it saves.

If the report is missed for long enough the Division moves to revoke, and the way back runs through reinstatement rather than a fresh registration, which preserves the original filing date and the name. Our Massachusetts reinstatement guide covers the application for reinstatement of authority and the back reports that go with it.

The Department of Revenue Is a Separate Registration

Filing with the Secretary of the Commonwealth opens nothing at the Department of Revenue. A company with Massachusetts activity registers separately through MassTaxConnect for the accounts its facts require: withholding once there is Massachusetts payroll, sales and use tax if it sells taxable goods or services, room occupancy or meals tax in the trades that carry them, and the corporate excise under chapter 63 for corporations. The corporate excise has a floor that applies even in a loss year, which surprises founders who assume a Massachusetts filing obligation follows Massachusetts profit.

There is a further Massachusetts wrinkle for the trades. A foreign corporation seeking home improvement contractor registration has to be registered with the Corporations Division first, so in construction the corporate filing is a licensing prerequisite and not merely a legal formality. Where the arrival in Massachusetts also changes how an LLC is governed, our Massachusetts operating agreement guide covers what should be recorded, and amending the Massachusetts filing covers changes that must reach the public record.

Three Massachusetts Registrations in Practice

Example 01: a New York LLC opens a Seaport office

Kettleworth Design LLC, formed in New York, took a small office in Boston's Seaport and moved five staff across. What we did: ordered the New York certificate of existence, filed the Foreign LLC Application for Registration online at $520, appointed a resident agent, and opened the MassTaxConnect withholding account in the same week so the first Massachusetts payroll ran clean. Cost: $520 to the Commonwealth, $25 for the New York certificate, $99 for the agent. Time: four business days to registration. Result: registered before the first pay run, with the $500 annual report calendared against the registration anniversary rather than a guessed date.

Example 02: a contractor discovers it cannot sue

A Rhode Island glazing subcontractor worked two Worcester projects across 14 months, then sought $96,000 in retainage from the general contractor. The general's counsel checked the Corporations Division register, found nothing, and cited section 15.02. What we did: filed the Foreign Corporation Certificate of Registration online at $390, brought the corporate excise and withholding accounts current for the periods worked, and refiled the demand once the certificate was on the record. Cost: $390 in state fees plus roughly $3,600 in accounting for the back periods, before the Commonwealth's own section 15.02 assessment. Time: five business days on the filing, seven weeks on the tax cleanup. Result: the claim was revived, several months later than it should have been.

Example 03: an LLC prices the $500 annual report before committing

A Connecticut speciality food producer wanted a small Massachusetts distribution point and asked whether registration was avoidable. What we did: mapped the activity against section 15.01(c). Selling through an independent distributor who accepts orders in Connecticut sits inside the safe harbour. Leasing a Chicopee unit, stocking it and employing two people in it does not. Cost of registering: $520 up front and $520 a year. Cost of not registering: the section 15.02 bar on enforcement plus back fees measured from the tenth day of trading. Result: the client registered, and moved the annual report into the same quarterly compliance review as its other states through compliance monitoring.

Five Mistakes That Cost Massachusetts Filers Money

These recur on Massachusetts files often enough to be worth naming.

Mistake 1: Assuming no printed expiry means no expiry

Neither Massachusetts form states how old the home-state certificate may be, and filers read that silence as permission to attach whatever is in the folder. The Division reads currency into the requirement and queries documents that are obviously stale. Order the certificate for the filing, not from the archive.

Mistake 2: Confusing the municipal business certificate with the state register

A Massachusetts city clerk issues a business certificate under chapter 110, section 5. The Secretary of the Commonwealth maintains the entity register. They are different systems with different searches, and a company that holds a Boston business certificate has established nothing at all about whether its entity name is available statewide. Search the Corporations Division index before you commit to signage.

Mistake 3: Naming a resident agent who never consented

The Massachusetts corporate form requires the resident agent's consent on the face of the filing. Naming a friendly accountant without asking produces a registration that looks clean and fails when a summons arrives at an address where nobody has agreed to receive it. Get the consent, and confirm the street address is one the agent still occupies.

Mistake 4: Diarising the corporate report against 31 December

A Massachusetts corporate annual report is due two and a half months after the close of the corporation's fiscal year, not on a fixed calendar date. Companies with a June or September year end diary March by habit, file six months late and pay $150 instead of $125. Set the reminder from the fiscal year end recorded in the filing, and check that the year end the Division holds is the one you actually use.

Mistake 5: Filing on the wrong side of the paper and online split

Massachusetts prices the two channels inconsistently. Corporations save $10 filing online. LLCs pay $20 more. Change of resident agent is free electronically and $25 on paper. A company that adopts a blanket policy of always filing online, or always filing on paper, overpays somewhere. Check the fee schedule per document rather than per habit.

Closing a Massachusetts Registration Properly

A registration that is no longer needed is surrendered by filing a certificate of withdrawal, and the reason to bother is arithmetic. An abandoned foreign LLC registration keeps generating a $500 annual report obligation on every anniversary, and the Commonwealth does not stop counting because you stopped trading. Withdraw, close the Department of Revenue accounts with final returns, and leave the resident agent appointed until the record is updated so that any rejection notice reaches you. Our Massachusetts dissolution guide covers the sequence and the tax clearance that sits in front of it.

How File.Business Handles a Massachusetts Registration

We start by pricing the channel, because Massachusetts is the one state where that decision has a real answer per document. Then the home-state certificate is ordered against the filing date, the name is cleared on the Corporations Division index, the resident agent consent is obtained in writing before the form is lodged, and the correct filing goes in for your entity type. Where there has been trading before registration we flag the section 15.02 exposure in writing rather than leaving it to be discovered. Resident agent service runs at $99 a year flat. The annual report is then tracked against the right trigger, fiscal year end for a corporation and registration anniversary for an LLC. Transactional detail for this state sits on our Massachusetts foreign qualification page.

File.Business is a private filing service. We are not a law firm and we do not give tax advice, but we will tell you when a Massachusetts recurring fee is large enough that it should be in the model before you sign a lease.

Where Massachusetts sits in a multi-state portfolio

Massachusetts is the expensive one. For a portfolio of foreign LLC registrations, the Commonwealth alone can cost more each year than five other states combined, and it is the state where the recurring number, rather than the setup number, drives the decision. It is also the state with the least forgiving enforcement gate, because the section 15.02 bar bites on the day you want to sue and not before. Operators who handle it well do two things: they register early, and they hold the Massachusetts anniversary on the same calendar as everything else so the $500 is never a surprise. Adding several states in one pass is what our foreign qualification service is built for.

Massachusetts Foreign Registration FAQ

Answered against the Corporations Division fee schedule and chapters 156C and 156D as they stand in August 2026.

What does it cost to register an out-of-state company in Massachusetts?

A corporation pays $400 to file the Foreign Corporation Certificate of Registration on paper, or $375 plus a $15 expedite charge online. An LLC pays $500 to file the Foreign Limited Liability Company Application for Registration on paper, or $500 plus a $20 expedite charge online. Massachusetts is unusual in that the online channel is cheaper for corporations and dearer for LLCs.

How quickly does a foreign corporation have to file after starting business?

The Corporations Division states that the certificate of registration should be filed within ten days of commencing business in Massachusetts. Filings are accepted well after that in practice, but section 15.02 measures what the Commonwealth is owed from the date the certificate should have been filed rather than from the date it was.

What is the Massachusetts annual report fee?

A corporation, domestic or foreign, pays $125 on paper or $110 online, rising to $150 on paper if filed late. A limited liability company pays $500 on paper or $520 online. The LLC figure is the highest recurring entity report fee in this guide and it applies every year for as long as the registration stays open.

When is the annual report due?

A corporation files within two and a half months after the close of its fiscal year, so the date moves with the year end rather than sitting on a fixed calendar day. A limited liability company files on or before the anniversary of the date its registration was filed with the Commonwealth.

Does Massachusetts say registered agent or resident agent?

Resident agent. The term is used throughout the limited liability company statute and on the forms, and the corporate filing requires the agent to consent to the appointment. A Massachusetts street address is required, and a statement of change of resident agent is free filed electronically and $25 on paper.

What happens if we trade in Massachusetts without registering?

Under chapter 156D, section 15.02, the company cannot maintain a proceeding in any Massachusetts court until the certificate is delivered and filed. It is also liable to the Commonwealth for all fees that would have accrued had it filed on time, plus interest and penalties, plus a monthly amount set by the Secretary of the Commonwealth, and the Attorney General may sue to collect or seek an injunction stopping it operating.

Can File.Business file the Massachusetts registration for us?

Yes. We price the paper and online channels for your entity type, order the home-state certificate of legal existence, clear the name on the Corporations Division index, obtain written resident agent consent, lodge the filing, act as resident agent at $99 a year, and track the annual report against the correct trigger for a corporation or an LLC.
