Alabama does not issue anything labelled a certificate of good standing. The Alabama Secretary of State issues a Certificate of Existence, and that is the document a lender, an acquirer, or another state's filing office will accept when they ask for proof that your entity is real and current. The name on the document differs from the name on the request, which is the first thing that catches Alabama filers off guard.

Read narrowly, the certificate says three things: the entity was formed under Alabama law, its record has not been administratively dissolved or revoked, and the filings the Secretary of State tracks are current as of the issue date. It is not a tax clearance letter, it is not a certified copy of your formation documents, and it says nothing about licences, permits, or litigation. Counterparties who need those things need separate documents, and asking for the certificate to carry that weight is how closings slip.

Who asks for it, and what they are checking

The sequencing consequence is straightforward and easy to get wrong. Paying a delinquent Business Privilege Tax Return does not clear the certificate the same afternoon. The payment has to post, the revenue record has to update, and the corporate record has to reflect it.
