Subscription Terms

1. Subscription services
These Subscription Terms govern your enrollment in any recurring File.Business service. Subscription services include:
- Compliance Annual Filings ($129/year + state fee): annual report filed automatically every year
- Registered Agent Service ($149/year): receive legal documents on behalf of your business
- Virtual Business Address ($149/year): professional business mailing address
- Compliance Monitoring ($79/year): automated alerts for compliance deadlines (no filings included)
2. Auto-renewal
All subscriptions auto-renew on the anniversary of your initial purchase date. We will email you 30 days before each renewal. We will charge your payment method on file unless you cancel.
3. Cancellation
You can cancel any subscription at any time from your dashboard at Settings → Billing → Manage subscriptions. Cancellation takes effect at the end of the current paid period. We do not issue partial-month refunds on cancellation, except in the first 30 days of a new subscription where we issue a pro-rated refund minus a $25 administrative fee.
4. Price changes
We may change subscription prices. Existing subscribers receive at least 30 days' notice before a price change takes effect at their next renewal. You may cancel before the new price applies.
5. State filing fees
Compliance Annual Filings and Registered Agent renewals trigger state filing fees that are passed through at the state's rate. State fees are not part of the subscription fee. You will see both line items on your renewal receipt.
6. Failed payments
If your payment method fails on renewal, we will retry up to 3 times over 7 days and email you about the failure. After 14 days without a successful payment, the subscription is automatically cancelled. Filings already submitted are not cancelled by a billing failure.
7. Subscription pause
You may pause Registered Agent Service for up to 90 days per calendar year if your business is temporarily inactive. Other subscriptions cannot be paused; you must cancel and re-subscribe.
8. Multi-entity discounts
Customers with 5 or more entities on a single account receive a 15% discount on Compliance Annual Filings, Registered Agent, and Compliance Monitoring. Discount applies automatically at the 5th entity.
