Every Illinois LLC, Corporation, and Limited Partnership in active status. Foreign-qualified entities also file.
When it is due
LLCs: First day of anniversary month.
Corporations: First day of anniversary month.
What it costs
LLC fee: $75. Corp: $75 (filing fee) + $25 minimum franchise tax (being phased out . see note).
Late fee: $100 late penalty.
If you miss the deadline
Illinois applies the late fee. After 60 days past due for Corporations; 180 days for LLCs, the state administratively dissolves the entity.
