Foreign Qualification, explained plainly.

Every US business is legally formed in one state. That state is called the "domestic" state. Every other state is "foreign". When your business starts operating in a state that is not its home state, that other state typically requires you to register as a "foreign" entity before you can transact business, sue in its courts, or hire employees there.

Foreign qualification is not the same as forming a new entity. It does not create a separate company. It is a registration that puts your existing entity on the foreign state's record, names a Registered Agent in that state, and obligates you to file annual reports and pay franchise tax there going forward.

The trigger for foreign qualification is usually one or more of: an office, employees, significant inventory, real estate, a bank account, or regularly soliciting business in the foreign state. Common questions.

What triggers foreign qualification?
Typically: hiring an employee, opening an office, holding inventory, owning real estate, or regularly soliciting business in a state outside your home state. Each state defines "doing business" slightly differently. Online-only sales without a physical presence usually do not trigger qualification (though they may trigger sales tax registration, which is separate).
What happens if I do not qualify?
Most states impose penalties of $500 to $5,000 for transacting business without authority. More importantly, an unqualified entity often cannot bring lawsuits in that state's courts, which can make collecting from local customers impossible.
Is foreign qualification the same as forming an LLC in that state?
No. Forming a new LLC in a state creates a new, separate entity in that state. Foreign qualification registers your existing entity there. Qualification is almost always preferable to forming a duplicate entity, because it preserves your single tax structure, single bank account, and single legal entity for liability purposes.
Does foreign qualification mean I have to pay taxes in both states?
You will likely pay income or franchise tax in the foreign state based on the income earned there. You typically get a credit on your home-state return for taxes paid to the foreign state, so you do not pay twice. Sales tax is a separate question entirely.
Do I need a Certificate of Good Standing?
Most states require a Certificate of Good Standing (also called a Certificate of Existence) from your home state, dated within the last 30 to 90 days. We obtain this for you as part of the qualification filing.
Can I be my own Registered Agent in the foreign state?
Only if you have a physical street address in that state with someone available during business hours. Most foreign-qualifying businesses use a professional Registered Agent service in the new state. We are your Registered Agent in all 50 states.
How long does foreign qualification take?
Typically 5 to 15 business days, including obtaining the Certificate of Good Standing from your home state. Some states (California, New York) can take longer; some (Delaware, Wyoming) can be 2 to 3 days with expedited filing.
What if I am only doing business there temporarily?
Some states have safe harbors for short-term or isolated activity. If you are uncertain, we will give a written assessment. The cost of qualification is almost always less than the cost of getting it wrong.
Do I need to qualify in every state I sell to online?
Generally no. Online sales without a physical presence usually do not trigger foreign qualification. They may trigger economic-nexus sales tax registration (a different obligation), which the South Dakota v. Wayfair decision broadened.
What if my home state requires qualification too if I move there?
A few states (Pennsylvania, others) require any entity transacting business in the state, including the home-state entity if it operates partly elsewhere, to register specially. We confirm this state-by-state.
