Stay in good standing in every state, automatically.
Most states require LLCs and Corporations to file an annual or biennial report disclosing officers, directors, and the Registered Agent. Miss the deadline and you face penalties or administrative dissolution. We track the deadline, prepare the filing, and submit it for you.
State annual reports, all 50 states, tracked and filed.
An annual report (also called a Statement of Information, Annual List, Periodic Report, or Annual Registration depending on the state) is a short filing most states require every year or every two years. It typically reports your current officers, directors, members, principal office address, and Registered Agent. Some states bundle it with a franchise tax payment.
The cost of missing it varies by state but is universally bad. Florida charges a $400 late fee on top of the regular $138.75. California's Statement of Information is $20 with a $250 penalty if late. Delaware's franchise tax starts at $300 with $200 late penalty plus 1.5% monthly interest, and entities that fail to file face suspension. After repeated non-filing, states administratively dissolve your entity, you lose the right to sue in their courts, and reinstatement requires back-fees plus reinstatement filings.
Every state has its own deadline pattern. Delaware Corporations: March 1 every year. Delaware LLCs: June 1 every year (just a flat $300). California: every two years on the anniversary month. New York biennial. Texas: May 15 annually with a franchise tax. Florida: by May 1. Each state's online portal has its own quirks, login requirements, and confirmation paths.
Multiply that across every state where you operate (formation state plus every state where you have foreign qualified), and the tracking burden becomes real. The Compliance Suite watches every deadline across every entity and every state. We prepare each filing 30 days before it is due, you approve in one click, we submit, and the stamped confirmation lands in your vault.

We map your deadlines on day one
When you onboard, we pull your current standing from every Secretary of State where you are registered. Each state's deadline goes on your Compliance Center calendar, with the agency, form name, and required information.
Filing prepared 30 days before due
We pre-populate the filing from your latest entity record. If officers or addresses changed since last year, you confirm or update; if not, you approve as-is.
We submit and confirm
Filed via the state's e-filing portal (or by mail for the few states without e-filing). The stamped confirmation is uploaded to your document vault automatically. You get an email when it is done.
We track confirmation and good standing
We verify the state has accepted the filing and your standing is current. If the state issues a request for additional information, we respond on your behalf. You never have to log into a Secretary of State website.
