Every Massachusetts LLC, Corporation, and Limited Partnership in active status. Foreign-qualified entities also file.
When it is due
LLCs: Anniversary date of formation.
Corporations: 15th day of 3rd month after fiscal year-end.
What it costs
LLC fee: $500 (highest LLC annual report fee, tied with $500 LLC formation). Corp: $125 (online) / $150 (paper).
Late fee: $25 late fee + loss of good standing.
If you miss the deadline
Massachusetts applies the late fee. After 2 consecutive years of missed annual reports, the state administratively dissolves the entity.
