Who files, when, and what it costs
Who must file
Every Florida LLC, Corporation, and Limited Partnership in active status must file an annual report. Foreign-qualified entities also file. Nonprofit Corporations file at a reduced fee. Sole proprietors and general partnerships do not file annual reports.
When it is due
LLCs: May 1 each year.
Corporations: May 1 each year.
What it costs
LLC fee: $138.75
Corporation fee: $150 (For-profit) / $61.25 (Nonprofit)
Late fee: $400 automatic late fee.
What happens if you miss the deadline
Florida applies the late fee. After the 4th Friday in September, the state administratively dissolves the entity. Reinstatement requires filing all back reports plus a reinstatement fee.
